Rebekah Ries Photography Agreement - Online Preview

1. Services

The Photographer agrees to provide professional photography services

on (date) at/in (location) (the "Session").

  • Session Duration:

      X        The Client has submitted a written list attached to this Agreement, detailing any shot preferences, goals, or emotions they wish to capture in the images produced during the session. While the Photographer will consider these inputs and strive to fulfill all specified criteria, due to the nature of the work, there is no guarantee that every point will be met.

     X        The Client acknowledges they have reviewed the Photographer's portfolio and appreciate their distinctive photography style. The Client expresses confidence in the Photographer's creative ability, and has not provided a list of specific preferences.

2. Payment

The Client agrees to pay the Photographer a session fee of $ 200 for the services mentioned above. A non-refundable retainer of $ 100 is required upon signing this Agreement. This retainer counts towards the session total, and the remaining balance is due before the Session begins.

Images are captured in a special format that is not suitable for printing or posting online, and they require additional processing after the session.

Current Image Pricing:

  • For Personal Use: $10 per fully processed image
  • For Commercial Use: $20 per fully processed image

Discounts are applied when certain quantities are met:

  • 6-15 images - 5% off
  • 16-25 images - 7% off

  • 25+ images - 10% off

  • Late Payment Penalties:

    • A late fee will be applied to any Session payments made after the Session has occured.

        • Within 3 days of the session: 10% ($20)

        • Between 4 and 7 days after the session: 15% ($30)

        • Between 7 and 14 days after the session: 20% ($40)

        • 14 days or more after the session: 30% ($60)

    • If payment for the Session has not been provided to the Photographer by the 30th day following the Session legal action will be initiated, unless another agreement has been signed.

    • The Photographer will not perform any post-session labor on the Client’s behalf until full payment including the late fee is received. This includes but is not limited to: sending the Client a digital album to make image selections, editing images to the Photographer’s style, and designing or ordering printed products.

Client Dissatisfaction and Refunds: In the event that the Client is dissatisfied with the services provided by the Photographer, the Client is eligible for a refund of up to 25% of the total session cost (which in this instance is $50). This refund is applicable only if the dissatisfaction is communicated in writing to the Photographer within 3 business days following the delivery of the final digital images. The Photographer, will process the refund within 14 business days. It is understood by the Client that this refund policy is in place because a significant portion of the labor and creative effort has already been performed by the Photographer by the time the images have been processed.

3. Attendance, Cancellation & Rescheduling

If the Client cancels within 48 hours of the event date, the non-refundable retainer will be retained by the Photographer and will not be credited towards any future session payments. If the Client decides to reschedule the cancelled event, they will be required to pay a new non-refundable retainer.

If the Photographer cancels at any time, all payments, including the non-refundable retainer, will be reimbursed to the Client. Should the Client choose to reschedule, the Photographer will keep the original retainer fee and prioritize the Client’s time during rescheduling.

Unfavorable weather conditions* may pose a threat to the successful execution of the Session. If the likelihood of adverse weather is less than 50%, the Client may choose to proceed as scheduled and adapt as necessary. However, if the probability exceeds 50%, the Photographer will require a rescheduling of the Session to safeguard the photography equipment. In the event that rescheduling is necessary due to weather conditions, the Photographer will prioritize the Client's availability during the rescheduling process..

*Unfavorable weather may include but is not limited to heavy precipitation, severe storms, severe heat waves, poor air quality (more than 100 on the AQI), etc.

Late Arrivals:

If the Client has not arrived by the scheduled time, the Photographer will initiate contact five minutes after the appointment begins. Should the Client arrive within a 15-minute window, the session will commence as planned upon their arrival. However, if the Client is more than 15 minutes late without prior notification to the Photographer, the session will be considered canceled by the Client, and the aforementioned cancellation policy will apply.

In the event that the Photographer is delayed, they will promptly contact the Client upon discovering the setback to discuss the Client's preferences. The options include proceeding with the session upon the Photographer's arrival, requesting priority rescheduling, or canceling the session altogether. Should the Client choose to cancel due to the Photographer's tardiness, all payments, including the non-refundable retainer, will be fully refunded to the Client.

4. Editing Methods and AI Usage

Pre-processing: Images are captured in .CR2 format (similar to .RAW) and are not suitable for direct viewing from the camera. A basic filter and format conversion will be applied to any images that the Photographer is willing to finalize and include in their portfolio before being sent to the Client. This process aims to provide the Client with sufficient image detail to make informed image selections, and assist the Photographer in expediting the turnaround time for the final images.

Different sessions may require different editing methods and processes:

  • Portrait session editing may include but is not limited to cropping, ratio changes, image rotation, lighting enhancement, stylized color grading, and minor image manipulation to remove distracting elements and retouch blemishes.

  • Headshot session editing may include but is not limited to cropping, ratio changes, image rotation, lighting enhancement, realistic color grading, and minor image manipulation to remove distracting elements and retouch blemishes.

  • Product photography session editing may include but is not limited to cropping, ratio changes, image rotation, image compiling, stylized or realistic lighting scenarios, stylized or realistic color grading, and minor image manipulation.

  • Surrealist or creative project session editing may include but is not limited to cropping, ratio changes, image rotation, image compiling, stylized or realistic lighting scenarios, stylized or realistic color grading, and image manipulation.

The Photographer has summarized below what the Client can expect from their business in regards to using AI tools.

    • The Photographer will not feed images into any AI photo manipulator for any reason.

    • The Photographer will not use tools that utilize AI to add elements to, or make any drastic changes to an image.

    • The Photographer will not use AI image generators to create images for any aspect of their business.

    • The Photographer will not use AI writing generators to write any blog posts, social media posts, or communications with clients.

    • The Photographer will not allow AI tools to make creative decisions for their business.

    • The Photographer may use tools that utilize AI to remove elements from an image.

    • The Photographer may use tools that utilize AI unknowingly, as companies often add AI to their software without obvious disclosure to the user.

     X      The Client acknowledges they understand and accept these statements.

5. Image Delivery and Revisions

Post-Session Process: The Photographer will deliver the pre-processed* digital gallery to the Client within seven business days after the Session. The Client may select their preferred images, and may request revisions. The Photographer will then process the selected images in accordance with the style outlined in the Services section of this Agreement. Printed products will be ordered within three days of the final digital gallery's delivery.

  • Selections and Revisions: Clients are required to make their image selections and submit any revision requests within seven business days of receiving the link to the image gallery from the Photographer. While all revision requests will be considered, the Photographer retains the artistic license to preserve the integrity of the styles presented in their portfolio.

  • Final Delivery: The final digital gallery will be delivered within 14 business days following the Client’s communication of selections and the Photographer’s acceptance of revisions.

  • Additional Revision Fees: Any requested revisions accepted by the Photographer after the final digital image gallery has been delivered to the Client will incur a fee of $5 per image.

    • Revised images will be digitally delivered within 5 business days following the Photographer’s approval.

This process is designed to provide sufficient detail for the Client to make informed image selections and to expedite the final image turnaround.

6. Ownership and Additional Releases

The Photographer retains all copyrights for the images captured during the session. This grants the Photographer commercial rights to any images, irrespective of the Client's final selections. The final digital and printed images, which were selected by and provided to the Client are intended solely for the Client's personal use. 

    X     The Client is granted permission to post the digital images from the final curated gallery on their personal social media platforms.

  • The Photographer kindly asks that the Client credit them when sharing the images. This request holds unless the Client has significantly altered the images' appearance without the Photographer’s approval, such as applying a filter or converting them to black and white. Photography is an art, and making changes to the final images diminishes the Photographer’s artistic contributions. The Photographer is happy to assist with high quality revisions.

    X     The Client is granted permission to utilize the digital images from the final curated gallery for commercial purposes.

    X     The Client would like to purchase printing rights for $XX

  • The Photographer will include a non-exclusive, perpetual, and non-transferable license to print or reproduce the images for personal use. The Client may:

    • Print the images for personal use at their desired facility

    • Share printed images freely with family and friends

    • Use printed images to apply for jobs

    X     The Client declines purchasing printing rights from the Photographer

    X     The Client wishes to exclude the images from their session from being utilized in the Photographer’s digital portfolio, website, and social media postings.

7. Storage

The Photographer reserves the right to retain any images produced during the Session for their portfolio or marketing purposes. All other images will be deleted 30 days following the delivery of the final gallery to the Client, providing them with one month to purchase additional images if they wish. The Client may choose to obtain long-term image storage from the Photographer if they foresee themselves ordering more images after 30 days. Acquiring this storage does not grant the Client ownership of, nor direct access to the images.

The Photographer agrees to take reasonable care in the handling and storage of images retained for long-term storage as requested by the Client. This includes ensuring that the images are stored in a secure and appropriate manner to the best of their ability. The Photographer is not liable for any future technical malfunctions, data corruption, or other unforeseen events that may result in the loss, damage, or inaccessibility of stored images. The Client acknowledges that while the Photographer will make every reasonable effort to ensure the safety and integrity of the stored images, no guarantee is made regarding the continued availability or condition of these images over time.

8. Additional Client Responsibilities

The Client confirms that they have examined the Photographer's previous works and are pleased with the Photographer's current artistic approach. The Client agrees that the images captured and delivered will showcase the Photographer's professional judgment and aesthetic quality as evident in their portfolio.

 

If the location selected by the Client necessitates permits or permissions to conduct the Session, it is the Client's responsibility to obtain them.

9. Liability

The Photographer is not liable for any injuries sustained during the shoot.

In the unlikely event that the Photographer is unable to perform the services due to an unforeseeable event or other circumstances beyond control, the Photographer's liability is limited to the refund of all payments received.

If the Client has acquired printing rights and chooses to have the images printed at a facility other than the Photographer’s preferred printing service, the Photographer shall not be held liable for the quality of the resulting products.
